These Terms of Service govern the use of this website and the professional services provided by Foxhound Group LLC. The company is a computer systems design and related services practice with a yard office at 30 Vine Cir, Clearfield - 84015-2116, United States (US). By visiting this website, contacting the office or engaging the company for a project, you agree to the terms set out below. If you do not agree, please do not use the site or ask the office to proceed with a project on your behalf. Throughout this document, the terms the Company, we, us and our refer to Foxhound Group LLC, and the terms you and your refer to a visitor, a client or any other person using the website or the services.

We have written these terms in plain language and in a logical order, beginning with who we are and how the website may be used, then moving through the substance of a project, the rules about records and data, payment, liability and closure. Each section is short enough to be read on its own, and the contents list below allows you to move straight to the section that matters to you.

1. Acceptance of Terms

These terms form a binding agreement between you and Foxhound Group LLC when you use this website or when the company accepts an instruction to provide services. The agreement takes effect on the date you first use the site in a way that relies on these terms, or, for project work, on the date the parties sign a proposal or exchange written approval of scope.

If you use the site or engage the company on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms. If you do not have that authority, you must not proceed, and you should ask the appropriate person in your organisation to review this document.

These terms work together with any signed proposal, statement of work or project agreement. If there is a conflict, the signed project document takes priority for the project it covers, and these terms fill any gap that the project document does not address.

2. About the Company

Foxhound Group LLC provides computer integrated systems design and related professional, scientific and technical services. The company operates from 30 Vine Cir, Clearfield - 84015-2116, United States (US) and can be reached at contact@foxhoundgroup.lol or by telephone on +15309828681.

The yard office is where plans are drawn, prototypes are tested and field crews are briefed. The use of the word yard in these terms refers to the working environment in which the services are delivered and does not imply that the company operates an animal boarding business or any other regulated activity.

The company may use subcontractors to support specialist work such as hosting, printing or field logistics. Where that happens, the company remains responsible to the client for the quality of the work and for the conduct of the subcontractor in relation to the project.

3. Use of the Website

You may read the pages of this website, follow the links and contact the office for legitimate business purposes. You must not attempt to interfere with the operation of the site, to gain access to systems that are not intended for you, to introduce malicious code, or to use automated tools in a way that places an unreasonable load on the service.

The content of the site is provided for general information. It does not constitute legal, financial or technical advice for a specific situation, and it should not be relied on in place of a tailored proposal from the office. Descriptions of services are indicative and may be adjusted once the office has seen your requirements.

We may change, suspend or withdraw any part of the website at any time, including a page that has become out of date. We try to keep links working and content accurate, but we do not promise that the site will always be available or free from error. Where a broken link or an outdated page comes to your attention, a short email to the office is always welcome.

4. Scope of Services

The company offers six field services described on this website: Run Sheet Bays, Kennel Log Runs, Training Note Desks, Trail Windows, Health Check Review Rounds and Field Sittings. Each service may be engaged on its own or as part of a wider systems design programme, and the exact scope for a particular client is set out in a written proposal.

A service typically includes an initial review of current practice, a design stage, a field trial and a handover with documentation. The company does not promise a particular business outcome such as a specific increase in efficiency, because results depend on factors outside its control, including crew availability, site conditions and the quality of the data provided by the client.

The company may decline a request for services for any lawful reason, including where a project raises a conflict of interest or where the company does not have the capacity to deliver to its usual standard. A declined request does not create any obligation beyond the return of any materials that the client has provided for review.

5. Proposals and Engagement

A proposal sets out the work, the assumptions, the deliverables, the timeline and the fee. A proposal remains open for the period stated in it, or for thirty days if no period is stated. The engagement begins when the client confirms acceptance in writing, and the company may then schedule the first walkthrough.

Unless a proposal states otherwise, it is based on the information available at the time it is prepared. If that information turns out to be incomplete or inaccurate, the company may revise the scope, the fee or the timeline, and will do so only after explaining the reason to the client in writing.

Any samples, sketches or preliminary designs shared before acceptance remain the property of the company and may not be used by the client for a competing project or passed to a third party without written permission.

6. Client Responsibilities

The client agrees to give the company timely access to the people, sites and records that the project requires. This includes nominating a single contact who can approve decisions, arranging access to the yard or site, and providing accurate information about existing systems and processes.

The client is responsible for the lawfulness of the records it asks the company to process. Where those records include personal information about staff, volunteers or visitors, the client is responsible for giving any notice or obtaining any consent required by law. The company will help with technical measures where asked, but it does not take over the client legal duties as controller.

If the client delays a decision beyond the period set out in the proposal, the company may adjust the timeline and, where the delay causes idle capacity, charge for the reserved time. Any such charge will be discussed with the client before it is applied.

7. Fees and Payment

Fees are quoted in the proposal and may be fixed for a defined scope or charged on a time and materials basis. Unless the proposal says otherwise, invoices are issued at agreed milestones and are payable within thirty days of the invoice date. Amounts are stated in United States dollars and exclude any tax that the company is required to add.

Where a payment is late, the company may charge interest at a reasonable commercial rate and may pause work until the account is brought up to date. The company will always give notice before pausing a project, so that the client has a chance to resolve the matter.

Expenses such as travel, printing or third party licence fees are charged at cost where they have been agreed in advance. The client may ask for a summary of expenses at any time, and the company will provide supporting detail on request.

8. Timelines and Delivery

The company works to the timeline in the proposal and keeps the client informed of progress at agreed points. Dates in a proposal are estimates unless they are expressly marked as fixed, because field work depends on weather, crew availability and the pace of decisions on the client side.

Delivery is complete when the company provides the agreed deliverables and the client has had a reasonable opportunity to review them. The client is asked to confirm acceptance within fourteen days of delivery, and if no response is received the deliverables are treated as accepted so that the project can move to handover.

If the client identifies a defect within the review period, the company will correct it at no additional charge where the defect is within the agreed scope. Requests that go beyond the scope are handled as a change under the next section.

9. Field Sittings and Site Visits

Field sittings and site visits are scheduled from the Clearfield office, and the company will confirm the date, the time and the people attending before the visit takes place. The client agrees to provide a safe working environment and to tell the company in advance about any hazard that a visiting crew member should know about.

Crew members follow the safety rules of the site they attend. If a site rule conflicts with a company practice, the stricter rule applies. The company may stop a visit if conditions become unsafe, and in that case the visit will be rescheduled without penalty to either party.

Photographs, measurements and notes taken during a visit belong to the project and are handled under the confidentiality and data protection sections of these terms. The client may ask for material to be deleted when it is no longer needed for the project.

10. Changes to Agreed Work

Either party may ask for a change to the agreed work. A change is only effective once it is recorded in writing and accepted by both parties, whether through an updated proposal, a change note or a clear exchange of emails that states the new scope, fee and timeline.

The company will explain the effect of a proposed change before it is accepted, including any impact on the schedule and on other work already underway. If a change would cause the project to exceed the original budget significantly, the company will say so plainly rather than absorbing the difference without notice.

Where a change is requested late in a project, the company may need to reorder tasks. The client will be told what that means for delivery, and the revised plan will be recorded alongside the original so that the history of the project stays clear.

11. Intellectual Property

Unless the proposal says otherwise, the company retains ownership of its methods, templates, checklists, design patterns and reusable components. The client receives a licence to use the delivered system for its own internal business purposes for as long as it complies with these terms and the project agreement.

Where a project produces material that is specific to the client, such as a configured run sheet layout or a set of client notes, the client owns that material once the related invoices have been paid. The company may keep a copy for reference and support purposes, subject to the confidentiality section below.

Neither party may use the other party name or logo in a public announcement without written permission, except that the company may list the client name in a confidential reference list that is shared only when a prospective client asks for references and the listed client has agreed to be named.

12. Data Protection and Records

Each party will comply with the data protection law that applies to it. The client remains the controller of the records it provides for a project. The company acts as a processor for those records and will process them only on the documented instructions of the client, except where the law requires otherwise.

The company will keep appropriate security measures, limit access to personnel who need it, and notify the client without undue delay if it becomes aware of a breach that affects client records. The company will help the client respond to requests from individuals where the law requires that help and where the request relates to records held on the client behalf.

When a project ends, the company will return or delete client records as the client instructs, subject to any legal retention requirement and subject to the company right to keep a copy for the purpose of defending a legal claim. The measures used to protect records are described in the privacy policy published on this website.

13. Confidentiality

Each party may receive information that the other party treats as confidential, including operational details, pricing, personnel matters and technical designs. The receiving party will use that information only for the project, will protect it with reasonable care, and will share it only with people who need it for the project and who are bound by similar obligations.

The obligation does not apply to information that is already public, that the receiving party already held without a duty of confidence, or that the receiving party independently develops without using the confidential material. Where the law requires disclosure, the receiving party will give the other party notice where it is lawful to do so, so that protective steps can be considered.

Confidentiality obligations continue after the project ends for as long as the information remains confidential. Public material such as this website and published service descriptions is not confidential.

14. Warranty and Support

The company will perform the services with reasonable skill and care and in line with the standards of the profession. If a deliverable does not meet that standard, the client should report the problem promptly, and the company will correct it at no extra charge where the issue is within the agreed scope.

Support after handover is provided under the arrangement recorded in the proposal. Unless a different period is agreed, the company offers a support window of thirty days after delivery for defect correction, followed by an optional maintenance arrangement that is priced separately.

Except as stated in this section and in any applicable law, the company gives no other warranty, whether express or implied, including any implied warranty of merchantability or fitness for a particular purpose. The company does not warrant that a system will be free from every defect or that it will operate without interruption in every environment.

15. Third Party Services

A project may involve software, hardware or services supplied by a third party, such as a hosting platform, a printing supplier or a field device manufacturer. The company will select such items with reasonable care and will explain the contractual position before the client commits to them.

Third party services are governed by their own terms and may change, be discontinued or increase in price. The company is not responsible for the acts or omissions of a third party supplier, but it will help the client manage a change and will propose alternatives where one is available.

Where the client insists on a particular third party product that the company has advised against, the company will record the advice in writing. The client accepts the additional risk that comes with that choice, and the support obligation is limited to what the company can reasonably provide.

16. Limitation of Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded. The rest of this section applies subject to that important exception.

Subject to the previous paragraph, neither party is liable for indirect or consequential loss, for loss of profit, for loss of anticipated savings, or for loss of business opportunity arising out of the project. The company total liability for all claims arising from a project is limited to the total fees paid by the client for that project during the twelve months before the claim arose.

These limits reflect the size and nature of the engagement and the price agreed for the work. If a client needs a higher level of protection, the parties can agree a different limit in writing before the project begins, and the fee may be adjusted to reflect the additional risk.

17. Indemnity

The client agrees to indemnify the company against any claim, loss or expense that arises from client materials that infringe the rights of a third party, from records that the client was not entitled to provide, or from a breach of the client responsibilities in these terms. The company will give the client prompt notice of any such claim and will cooperate in the defence.

The company agrees to indemnify the client against any claim that the company own materials, used as provided, infringe the intellectual property rights of a third party. This indemnity does not apply where the claim results from a modification made by the client, from use outside the agreed scope, or from a combination with a third party product that the company did not supply.

A party seeking indemnity must allow the other party to control the defence of the claim, must not settle the claim without consent, and must provide reasonable assistance at the other party expense.

18. Suspension and Termination

Either party may terminate a project agreement for convenience by giving thirty days written notice. The client remains responsible for fees for work performed and for commitments already made on the client behalf up to the end of the notice period.

Either party may terminate immediately if the other party commits a material breach and does not remedy it within fourteen days of a written notice, or if the other party becomes insolvent or ceases to trade. The company may suspend work if an invoice remains unpaid after a reminder has been given and the client has not proposed a reasonable payment plan.

On termination, the company will deliver work completed to that date and any client materials it holds, and will invoice for work performed. Sections that by their nature should survive termination, including confidentiality, intellectual property, liability and governing law, will continue to apply.

19. Governing Law and Disputes

These terms are governed by the laws of the State of Utah and the federal laws of the United States that apply there, without regard to conflict of law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Utah for any dispute that cannot be resolved by discussion.

Before starting a formal claim, the parties agree to attempt to resolve the matter in good faith by discussing it at a senior level and by sharing the relevant records. A short cooling off period of at least thirty days is encouraged, and either party may propose mediation where a direct discussion has not succeeded.

Nothing in this section prevents either party from seeking urgent relief from a court to protect confidential information or intellectual property, or from exercising a right that cannot lawfully be restricted by an agreement to negotiate.

20. General Provisions

These terms, together with any signed project document, form the entire agreement between the parties on the subject and replace any earlier understanding. If a provision is found to be invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision is read down to the extent necessary to make it enforceable.

A party does not waive a right by delaying its exercise, and a single waiver does not prevent a later exercise of the same right. Neither party is liable for a failure to perform caused by an event outside its reasonable control, such as a natural disaster, a widespread utility failure or a government restriction, provided that the affected party gives notice and resumes performance as soon as it can.

The company may update these terms to reflect a change in its services or in the law. The revised terms apply to new engagements from the date shown at the top of the page, and an engagement already in progress continues under the terms that applied when it began unless both parties agree otherwise in writing.

21. Contact the Office
